Corporate Paralegal (Finance and M&A) - New York

One of our larger firms has an excellent employment opportunity for a Corporate Paralegal in the New York office. The Corporate Paralegal handles all aspects of deal management for Finance, Health Care, M&A and other transactions from inception to post-closing, including document organization, preparation and filing; assistance at closings; post-closing management; and preparation, follow-up and oversight of closing sets. This high-profile position involves direct interface with attorneys, clients, Corporate Services and opposing counsel and requires familiarity with both buyer and seller side transactions and equity deals.

Responsibilities include but are not limited to the following:

  • Develop physical and virtual data rooms; manage data in the firm’s CRM and in related applications
  • Manage corporate services vendors, post-completion billing and vendor invoice management
  • Draft transactional documents
  • Prepare and file various UCC financing statements
  • Order good standing certifications and certified charters
  • Manage, review and organize due diligence materials
  • Prepare and submit Forms 8821 and W-9 to IRS
  • Assemble fully executed closing documents; oversee preparation of closing sets
  • Manage post-closing matters in the post-closing database
  • Prepare withdrawal and qualification documents in accordance with all state, local and federal laws
  • Prepare stock certificates, legends and backing sheets
  • Draft shareholder and board consents
  • Draft and file amendment certificates
  • Prepare and draft merger or purchase agreements
  • Draft subscription agreements, stock certificates, stock powers and related documents
  • Prepare Forms SS-4 and apply for Employer ID Numbers
  • Coordinate execution of consent forms for using service companies as Registered Agent
  • Interface with the Corporate Maintenance Team to transition annual maintenance projects, documents and other materials post-closing

Education and Qualifications:

  • BA or equivalent; ABA-approved paralegal certification preferred
  • 3-10 years’ paralegal or transactional and corporate/securities-related experience
  • Strong research and writing skills
  • Flexibly to work overtime
  • Ability to work independently and multi-task on time-sensitive projects

Compensation will be commensurate with experience, salary is flexible.
