Corporate Paralegal (Mergers & Acqusitions)

The Washington DC office of one of our AmLaw 100 firms is seeking a Paralegal to join their Mergers & Acquisitions practice group. The Paralegal will demonstrate an increased level of technical understanding of legal tasks and procedures within the Business area and related subgroups. Exercises limited discretion and independent judgment and performs standard legal tasks under lawyer supervision.

Primary Job Responsibilities:

  • Prepares basic corporate organization documents including initial stock subscription agreements, stock certificates and stock ledger.
  • Drafts and files certificates of incorporation and certificate of formation.
  • Drafts written board consents in lieu of a meeting and written stockholder consents in lieu of a meeting, including both organizational and transactional closing matters.
  • Compiles and maintains closing binders, minute books and stock ledgers.
  • Conducts research to assist attorneys in determining jurisdictions for qualification.
  • Prepares and files qualification and withdrawal applications.
  • Orders lien searches and summarizes lien search results.
  • Prepares and files statutory filings with the various Secretaries of State, including annual reports, amendments, conversions, mergers and dissolutions.
  • Interfaces with corporate service providers regarding statutory registered agent services (including changing contact information) and statutory filings,
  • Drafts written consents approving closing agreements.
  • Drafts certificates including secretary and officer certificates.
  • Prepares and files UCC statements, amendments and termination statements.
  • Reviews collateral description on lien summary.
  • Assists with closing, including tracking down signature pages, filling in dates, tracking down final agreements and providing general support.
  • Prepare PowerPoint presentations and corporate structure charts
  • Maintains positive contact with clients and observes confidentiality of client matters.


Specific Skills Required:

Strong word processing and related technical skills, ability to express self effectively, both orally and in writing. and in writing. Ability to handle multiple tasks, multiple concurrent deadlines and work well under pressure. Ability to establish effective working relationships with Firm lawyers and staff, client personnel and other professionals including responding to emails and phone calls in a timely manner. Independently prioritize and organize workflow, possess strong attention to detail and display initiative. Demonstrates increased level of technical understanding of legal tasks and procedures. Demonstrates ability to exercise limited discretion and independent judgment. Works directly with clients and other professional outside the Firm. Excellent customer service skills.

Specific Skills Preferred:

At least 3 years of recent experience as a corporate/finance paralegal

Education & Experience:

Requires a bachelor’s degree and a minimum of 3 years of paralegal experience. Paralegal Certificate preferred.

 Compensation will be commensurate with experience, salary is flexible.
