Role Overview:
The Tech M&A Associate will play a critical role in the execution of mergers and acquisitions (M&A) transactions within the technology sector. Based in San Francisco, the Associate will work alongside senior bankers to deliver exceptional advisory services to clients ranging from high-growth startups to established global technology companies. This is a high-impact role that requires strong analytical skills, in-depth industry knowledge, and the ability to manage multiple priorities in a fast-paced environment.

Key Responsibilities:

  1. Transaction Execution:

    • Assist in the end-to-end execution of M&A transactions, including sell-side and buy-side mandates.
    • Conduct financial modeling, valuation analysis (DCF, precedent transactions, and trading comparables), and synergy assessments.
    • Support due diligence processes, including managing data rooms, coordinating with external advisors, and identifying potential risks.
  2. Client Interaction:

    • Prepare and deliver pitch books, presentations, and other materials to clients.
    • Develop relationships with client teams to ensure seamless communication and trust throughout the transaction process.
    • Provide insights and strategic advice to clients based on market trends and data analysis.
  3. Market Research & Analysis:

    • Conduct industry research to identify market trends, competitive dynamics, and potential transaction opportunities.
    • Stay updated on technology sector developments, including emerging technologies, regulatory changes, and M&A activity.
    • Evaluate potential acquisition targets and provide strategic recommendations to clients.
  4. Collaboration & Leadership:

    • Mentor and guide Analysts, ensuring high-quality deliverables and fostering their professional development.
    • Collaborate with internal teams, including industry specialists and senior bankers, to deliver comprehensive solutions.
    • Coordinate with external stakeholders, including legal teams, accountants, and consultants.

Qualifications:

  • Bachelor’s degree in finance, economics, business, or a related field; MBA or CFA designation preferred.
  • 3-5 years of experience in investment banking, with a focus on M&A or corporate finance; technology sector experience is a plus.
  • Strong technical skills, including advanced proficiency in financial modeling and Microsoft Excel, PowerPoint, and Word.
  • Demonstrated ability to handle multiple projects simultaneously in a fast-paced, deadline-driven environment.
  • Exceptional communication and interpersonal skills, with the ability to build rapport with clients and team members.
  • High attention to detail, strong organizational skills, and the ability to work both independently and collaboratively.

Preferred Skills & Attributes:

  • Deep understanding of the technology sector, including software, hardware, and emerging tech trends (e.g., AI, cloud computing, fintech).
  • Prior experience in a bulge bracket or leading boutique investment bank.
  • Entrepreneurial mindset with a passion for technology and deal-making.
  • Series 79 and 63 licenses (or willingness to obtain these licenses).
