We are seeking a highly motivated and experienced Vice President to join our Investment Banking team, focusing specifically on sell-side Mergers & Acquisitions (M&A) transactions within the dynamic Tech-Enabled Services and Software (SaaS/Vertical Software) sectors. The ideal candidate will possess a deep and proven understanding of the full sell-side M&A process from initial pitch through closing, including extensive experience in leading transaction execution, due diligence, and managing client and buyer relationships. This is a leadership role requiring exceptional technical proficiency, strong commercial acumen, and the ability to mentor junior staff.

Key Responsibilities

  • Lead Transaction Execution: Take primary responsibility for managing and executing complex sell-side M&A transactions, including developing deal strategy, coordinating due diligence, and managing the overall process timeline.

  • Process Management: Design and implement robust M&A processes, including preparing marketing materials (CIM, Teaser), managing buyer outreach, structuring negotiation tactics, and coordinating with legal and accounting advisors.

  • Financial & Valuation Analysis: Oversee and conduct sophisticated financial modeling, valuation analyses (DCF, Comparable Company, Precedent Transaction), and scenario planning for high-growth software and tech-enabled businesses.

  • Client & Stakeholder Management: Serve as a key point of contact for company founders, CEOs, and private equity sponsors throughout the transaction, building trust and providing expert strategic advice.

  • Drafting and Marketing: Lead the development of compelling and high-quality pitch materials, confidential information memorandums (CIMs), and management presentations, highlighting the key value drivers of technology targets.

  • Due Diligence Leadership: Manage and direct the due diligence process, identifying key risks and opportunities in the target company's financial, commercial, and operational performance.

  • Mentorship and Coaching: Actively train, mentor, and supervise Analysts and Associates, overseeing their work product and contributing to their professional development.

  • Business Development: Support senior bankers in new business development, including preparing pitch books and conducting industry research to identify potential transaction opportunities.

 

Required Qualifications

 

  • Experience: Minimum of 6-8 years of relevant experience in investment banking (M&A focus), private equity, or corporate development, with a significant track record of leading sell-side M&A transactions.

  • Sector Expertise: Deep domain expertise and a robust network within the Tech-Enabled Services and Software industries.

  • Technical Skills: Exceptional skills in financial modeling, valuation, and quantitative analysis. Must be expert-level in running and closing M&A processes.

  • Education: Bachelor's degree in Finance, Economics, or a technical field from a top-tier institution. An MBA or CFA is a plus.

  • Regulatory: FINRA Series 79 and 63 licenses (or willingness to obtain them promptly).

  • Work Ethic: High-energy, self-starter with a proven ability to perform well under pressure and adhere to tight deadlines
