Corporate & Real Estate Paralegal

A reputable AmLaw 100 firm is currently searching for an experienced corporate and real estate paralegal. The candidate should be detail oriented, able to work independently, and possess excellent organizational and written/oral communication skills. Candidate must have the motivation and skill to juggle multiple priorities in a fast-paced environment and have proven computer/technology skills.

 

Primary Responsibilities:

  • Assist with entity formations, mergers, and dissolutions across the United States, including corporate name registrations.
  • Prepare transfer deeds and other property conveyance documents for offices of the firm throughout the United States.
  • Records for client entities, including stock ledgers; prepare corporate resolutions.
  • Maintain corporate minute books, board books and stock records.
  • Manage the legal due diligence process for acquisitions, including ordering/obtaining all title documents, and/or applicable leases.
  • Review title materials and property surveys. Prepare memoranda advising on development or other issues and work directly with the title companies to finalize title policies for transactions
  • Review title commitments, recorded documents, and surveys, and help generate and respond to title and survey objections.
  • Retrieve documents from state officials for corporate transactions.
  • Maintain a database of all pertinent information related to specific entities.
  • Assist attorneys in preparation for closings and/or attend all hands meeting(s).
  • Prepare closing checklists and coordinate closing process for real estate and loan transactions.
  • Prepare closing indices and binders, and follow up on post-closing matters.
  • Notarize documents as necessary. (firm will assist in becoming a notary, if necessary)
  • Assist with review of contracts and other legal documentation, as requested.
  • Prepare organizational charts and other materials for client entities.
  • Draft and/or revise various real estate agreements, including leases and lease amendments, subordination non-disturbance and attornment agreements, estoppels, legal notices, etc.
  • Work with vendors to order various due diligence certificates and searches.
  • Search, prepare and file UCC financing statements.
  • Complete and file various forms with the IRS, EINs.
  • Conduct research and public searches using general and legal research tools.
  • Complete and file licensing forms for brokers.
  • Must be able to use Excel, PowerPoint and Word.
  • Assist with other duties as assigned.

 

A four-year college degree and/or paralegal certificate is required.
