SUMMARY

This technical and professional position is responsible for providing an independent assessment of holding company and affiliate banks internal controls and safeguards, accounting systems, regulatory and legal compliance, adherence to Board approved policies and procedures, and compliance issues. This position is expected to work independently of management and exercise professional skepticism. This position is responsible for conducting and reviewing risk profiles for each department per the audit schedule and recommends training for bank staff. Work is performed within the framework of standard audit program guidelines; however, a high level of independent judgment and discretion is required in performing assigned tasks.

ESSENTIAL DUTIES AND RESPONSIBILITIES include the following. Other duties may be assigned.

Develop and adhere to an internal audit program which is approved, reviewed, and revised by the audit committee for the holding company and affiliate banks. Significant activities include, but are not limited to, reviewing the following: compliance with COSO and SOX framework; coordinate and engage third party providers for external reviews of Information Technology (including general controls review, and internal and external vulnerability assessments), Trust Department, Retirement Pension Plan and 401(K) Plans, and loan quality control reviews; compliance department and programs, including quarterly testing of HMDA, CRA and flood compliance; review senior management expense accounts on a quarterly basis, and annual employee account reviews; ACH; BSA/AML; GLBA; asset/liability management, including investments, funds management, liquidity, and interest rate risk; capital accounts; fixed assets; other assets and liabilities; income and expense review; regulatory report filings; insider activities; Allowance for Loan and Lease Loss; Residential Real Estate; Other Real Estate; other assets repossessed; loan servicing; concentrations of credit; deposit operations; abandoned property/escheatment; Visa/Mastercard program; branch audits, including annual cash counts; safe deposit and other customer services provided; retail non-deposit investment sales; risk management and insurance; litigation and other legal matters; human resources; vendor management; appraisal programs; and SAFE ACT compliance.

Oversee the operation of the Bank’s internal loan review program.

Conduct audits of all books, records, properties, securities, and accounting procedures relating to banking and fiduciary activities at any time deemed appropriate; conducts unscheduled cash audits.

Gather extensive data and interviews bank staff; prepare work papers, spreadsheets, and narrative summary of audits; present audit reports to audit committee; make recommendations to bank management and affected bank staff.

Serve as an expert and provides advice and opinions to other bank staff regarding bank control procedures and compliance issues; research topics utilizing a wide variety of sources to obtain accurate and timely information.

Assist external auditors by preparing schedules, conducting test work, gathering requested documents, and referring them to proper bank staff; assist management and regulatory examiners to expedite the examination process by providing audit reports and work papers; respond to questions and comments; attend exit meeting to review recommendations and overall rating.

Serve as a source for whistleblower complaints; investigate, conclude, and report to the Audit Committee with appropriate confidentiality.

Collect and evaluate risk profiles from each bank department and provide recommendations and/or assistance to areas lacking adequate security and/or dual control procedures.

Comply with all banking regulations, policies and procedures.

Attend and provides input at internal and external meetings.

Assist audit committee and audit committee chairman with scheduling of committee meetings, preparation of agenda, and dissemination of information prior to meetings.

Make recommendations to training coordinator regarding mandatory compliance training for bank staff.

May be subpoenaed to testify in court

Review technical bulletins, alerts, newsletters, etc.; disseminate pertinent information to affected staff.

NON-ESSENTIAL DUTIES AND RESPONSIBILITIES include the following. Other duties may be assigned. Maintain educational and professional expertise through attendance at job related seminars, conferences, and workshops and involvement in professional, civic, and community groups in leadership positions.

SUPERVISORY RESPONSIBILITIES

Directly supervises assigned employees and performs administrative duties associated with staff management (e.g., trains employees, delegates work and ensures the completion of same, prepares and publishes work schedule, reviews and approves timesheets, coaches and counsels employees, prepares performance evaluations and conducts evaluation meetings, conducts staff meetings, makes salary and promotional recommendations, participates in recruitment, interview, and hiring process, administers progressive discipline, takes action regarding departmental activities and staff, approves/disapproves requests for leave time, notifies employees of mandatory training and bank meetings). Carries out supervisory responsibilities in accordance with the organization's policies and applicable laws.

QUALIFICATIONS

EDUCATION and/or EXPERIENCE

Possess a four-year college degree from an accredited university or institution with the major area of study in accounting or finance or other closely related discipline. The course work must include a minimum of 12 college hours of accounting. Plus additional education and/or training.

Possess a minimum of eight to ten years of professional work experience as an Internal Auditor or comparable position.

Possess a Certified Public Accountant's License, Masters Degree, or equivalent training.

LANGUAGE SKILLS

Ability to read and interpret documents such as safety rules, operating and maintenance instructions, and procedure manuals. Ability to write routine reports and correspondence. Ability to speak effectively before groups of customers or employees of organization.

MATHEMATICAL SKILLS

Ability to add, subtract, multiply, and divide in all units of measure, using whole numbers, common fractions, and decimals. Ability to compute rate, ratio, and percent and to draw and interpret bar graphs.

REASONING ABILITY

Ability to apply common sense understanding to carry out instructions furnished in written, oral, or diagram form. Ability to deal with problems involving several concrete variables in standardized situations.

OTHER SKILLS AND ABILITIES

Must have the ability to operate PC and printer, copy and fax machines and telephone. Must have good working knowledge of word processing and spreadsheet software programs. Advanced PC knowledge.

COMMENTS

Position may require occasional overnight travel to attend various training sessions. Position requires the ability to work before or after normal business hours to attend various meetings and meet with clients.
