Compensation: $180K – $210K plus 20% bonus and equity
Location: 20 min north of Dallas

Must Haves:
- CPA with Audit experience
- Either someone coming from Big 4 at the Manager to Sr. Manager level with public clients or someone with 5-6 years of SEC reporting experience at currently at the Sr Manager level.
POSITION SUMMARY:
The Senior Director of SEC Reporting and Technical Accounting will lead the preparation of the Company's Securities and Exchange Commission (SEC) filings, primarily Form 10-Q and Form 10-K and support the investor relations (IR) strategy through the preparation of quarterly and annual earnings materials and supplemental analysis.
Financial Reporting and Investor Relations:
- Coordinate with the Tax Director to provide financial information for income tax provisions, compliance filings, or transfer pricing studies.
- Draft disclosures for new and ongoing matters in MD&A of financial results for quarterly and annual filings.
- Prepare and review SEC filings, such as Forms 10-K and 10-Q, Proxy Statement, and press releases, ensuring accuracy and compliance with XBRL requirements.
- Assist in developing a comprehensive IR strategy, including preparing earnings materials and supporting analysis.
- Compile earnings release support materials and financial information for press releases.
- Research SEC disclosure requirements and best practices.
- Play a significant role in external audit and quarterly review processes, including discussions with external auditors regarding the impact of significant transactions.
- Collaborate with stakeholders in the earnings process, ensuring attention to detail in processing comments from disclosure committee members and external auditors.
Debt Compliance:
- Complete monthly and quarterly covenant calculations and borrowing base submissions in line with debt agreements.
- Develop and maintain compliance programs for the Company's new debt agreements, including reviewing agreements, creating monitoring checklists, and establishing communication protocols.
- Implement new corporate accounting and reconciliation processes as required by bank relationships and Treasury department directives.
SOX Controls Enhancements and Overall Compliance:
- Review schedules and working papers prepared by Financial Reporting and Corporate Accounting Managers, ensuring documentation supports Sarbanes Oxley external auditor opinion.
- Establish and execute key control activities and processes related to accounting and compliance functions, ensuring compliance with Sarbanes Oxley.
- Lead the preparation of a company-wide accounting policy manual documenting critical areas of estimation and judgment.
- Develop contract review controls and corporate review procedures for critical areas of judgment and estimates.
