Our client, a prominent, forward-thinking organization with a reputation for excellence in their field, is in search of an experienced Paralegal to join their growing Legal team. This full-time, permanent role offers a unique chance to work directly with the General Counsel, supporting key legal and governance functions. The position is based in-office at the company’s vibrant corporate head office, fostering collaboration and a dynamic work environment.

Primary Responsibilities

As a Paralegal, you will:

  • Collaborate with the General Counsel to support the Board of Directors, including preparing and managing agendas, coordinating meetings, circulating materials, and tracking post-meeting actions.
  • Lead compliance with continuous disclosure and public company obligations, including the preparation of the Annual Information Form and Management Information Circular.
  • Manage the governance of global legal entities, including maintaining the organizational chart, managing corporate filings, preparing resolutions and meeting minutes, and overseeing delegations of authority.
  • Serve as the subject matter expert on SEDAR and SEDI, acting as the primary administrator for all filings, and liaise with the Toronto Stock Exchange, transfer agents, and relevant regulators.
  • Draft corporate documents related to securities matters, such as board and shareholder resolutions and forms.
  • Support M&A activities, including conducting due diligence and researching new corporate jurisdictions.
  • Review commercial contracts, manage corporate contracts, respond to formal correspondence, and commission documents.
  • Maintain corporate and departmental records, calendars, and document management systems.
  • Provide administrative assistance to the Legal team and the CFO, including organizing meetings and managing calendars.

This role is dynamic and requires flexibility. Team members are expected to assist across business groups and adapt to evolving priorities.

Qualifications & Experience

  • A minimum of 7 years of experience as a Paralegal, including at least 3 years in a law firm. Experience in a corporate environment is an asset but not mandatory.
  • Proven experience supporting executives and Boards of Directors.
  • A Paralegal or Legal Assistant diploma and at least CORES Level 1 certification.
  • Exceptional communication skills, with a high level of accuracy and attention to detail.
  • Excellent time management and judgment, with the ability to handle urgent requests effectively.
  • A collaborative, team-oriented approach, with flexibility to support colleagues across functions.
  • Proficiency in MS Word and Outlook, along with advanced computer skills.
  • A proactive attitude toward adopting new technologies and fostering positive relationships across business units.
  • Strong problem-solving skills, decisiveness, and sound judgment.
